The Position

Purpose of the Role

As the Legal, Compliance, and Administration Lead, you will act as a strategic partner to the business, ensuring that Roche Bosnia and Herzegovina operates with the highest standards of integrity. You will be responsible for navigating a complex legal environment, safeguarding the company against risks, and enabling the affiliate to continuously improve the integrity mindset and patient-centric focus while delivering innovative healthcare solutions to patients. This role combines high-level legal advisory, rigorous compliance oversight, and efficient administrative leadership.

Key Responsibilities

Legal Advisory & Contract Management

  • Serve as the strategic legal advisor to and provide expert legal counsel to the General Manager, Leadership Team and across functional teams on commercial, public procurement, labour, and corporate law, to ensure lawful achievement of business goals. 

  • Monitor changes in the legislative environment and undertake needed steps to comply with novel legislation. 

  • Draft and review all contracts, agreements, and annexes (incl. legal opinions)  where Roche is a stakeholder,  ensuring alignment with Roche Group standards and local legislation. 

  • Manage corporate governance activities, including board resolutions, registrations, and official filings for the local legal entity.

  • Maintain legal compliance of all company activities, including legal support to all company projects and collaborations with 3rd parties. 

  • Conduct risk assessment to anticipate, and invest efforts in preventing, legal conflicts between Roche and 3rd parties and direct the development of new or innovative solutions to mitigate legal risk. 

  • Coordinate and oversee relationships with external legal counsel when specialized litigation or niche expertise is required.

Compliance & Ethics

  • Serve as the local Compliance Officer, implementing the robust Compliance Management System that ensures business enablement and partnership.

  • Support development of the compliance framework and foster a culture of integrity and ethical business practices, consistent with the Roche values and external requirements.

  • Support the leadership to consistently embed the company's commitment to ethical and legal business conduct as well as compliance with the letter and spirit of the law, global policies and Roche culture across all parts of the organization. 

  • Take accountability of the overall governance model of the organization.

  • Ensures business continuity in line with the global vision, mission and values of Roche. 

  • Conduct annual compliance risk assessments and develop mitigation plans tailored to the local market.

  • Monitor business activities and interactions with Healthcare Professionals (HCPs) and Healthcare Organizations (HCOs) to ensure transparency and adherence to industry codes.

  • Prepares needed compliance reports, and regularly monitors compliance of company activities. Provide data-driven insights and analysis to inform critical decisions under compliance perspectives. 

  • Support the implementation of global policies and directives, initiatives and support local SOP/process development, striving for synergies and simplifications

  • Advise all staff regarding compliance obligations, risks, proactive risk management strategies, actual or potential compliance-related matters, conflict of interest, investigation and resolution of issues, as well as corrective actions

  • Promotes the compliance culture and trains employees on compliance related matters.

Administration, Data Privacy, Public Procurement 

  • Act as Data Privacy Officer - the primary point of contact for data privacy, ensuring full compliance with the BiH Law on Protection of Personal Data 

  • Implement privacy impact assessments, maintain records of processing activities, and manage data subject requests.

  • Monitor public procurement landscape and advise the commercial team on risks and opportunities  in public procurement procedures. 

  • Oversee office administration and internal policies to ensure smooth and compliant daily operations.

Skills and Qualifications

Education & Experience

  • University Degree in Law: An advanced degree or Bar Exam is considered a strong advantage.

  • Professional Experience: Minimum of 5–7 years of experience in a legal or compliance role.

  • Corporate Expertise: Proven experience working in a corporate in-house environment or a top-tier law firm serving multinational corporate clients preferred. Pharma business understanding including relevant key business processes controls is a plus. 

  • Specialized Knowledge: Deep understanding of the BiH Healthcare, Commercial, Public Procurement, Labour and Data Protection legal frameworks. 

  • Data Protection Officer Certificate desirable

  • You have high ethical and integrity standards

  • You have excellent communication and presentation skills

  • You have strong influencing skills

  • You identify and manage complexity through the ability to quickly understand and analyze facts and situations

  • Experience in change management and managing complex projects

  • Advanced IT skills (MS Office, gSuite) 

  • Advanced knowledge of written and spoken English

  • Valid drivers license
