Job Description
Working Scope:
Contract Reviews
- Draft and review various contracts in COE across platforms, including but not limited to NDA, Service Agreement, Sponsorship Agreement, Demo Agreement, Authorization Letter, etc.
- Manage contracts in contract system;
- Provide legal advice on contract-related matters across platforms, coordinate with legal team and business team on various comments arising from the reviews;
- Maintain and optimize contract review process, and provide trainings to associates as necessary.
Marketing Material Review
- Conduct marketing material review by following related guidance provided by legal team;
- Provide advice and response to the questions and comments raised by platform/opco marketing team, about the marketing material review process, helping to reach consensus
- Update detailed Market material review guidance on regular basis;
- Arrange for trainings to business on marketing materials;
- Follow up with changes in law and issue recommendations to ensure compliance.
Corporate Governance
- Assist PwC and other approved external service providers to complete governance work tasks, including but not limited to reviewing resolutions, making the change of company name, business scope extension, shareholders and board members changes etc.;
- Working with related stakeholder of corporate government matters across platforms;
- Monitor and ensure the execution of corporate governance documents.
Channel Partner Tool Kit (“CPTK”)
- Familiar with CPTK process;
- Assist team leader and coordinate with paralegal working on CPTK related projects as necessary, such as desk reviews, one-site visits, audits, etc.
Others
- Provide direct support to COE team leader as needed for daily work and requested by COE team leader;
- Coordinate with COE projects under the direction of the COE team leader
Qualification
Bachelor of Laws degree or equivalent, PRC or foreign bar membership is preferred
An LLM or a JD degree abroad is considered an asset
around 1 years of post-qualification experience
Experience in a reputable law firm is required. In-house counsel experience at a global healthcare company is preferred
Proficiency in Chinese and English reading and writing; fluency in spoken English is a plus
