Job Description
Role Overview
We are seeking an experienced Contract Negotiator to support European Contract Services operations by providing high-quality contractual, transactional, and risk advisory services across the Bank and its business lines. In this role, you will lead the end-to-end vendor contracting process, ensuring contracts are compliant with applicable European and local regulations, as well as U.S. Bank / USBE policies. You will work closely with Business Lines, Corporate Procurement, Legal, and external partners, navigating complex negotiations while balancing risk, compliance, and business objectives.
Key Responsibilities
- Lead the vendor contracting lifecycle, including contract drafting, review, negotiation, and risk analysis of terms and conditions.
- Ensure all vendor contracts comply with applicable European, local, state, and federal laws, regulatory requirements, and internal U.S. Bank policies.
- Support Business Line and Corporate Procurement initiatives by drafting and negotiating contractual terms and advising on risk-related decisions.
- Provide clear, pragmatic guidance on contractual risk mitigation and escalation options.
- Respond confidently to complex contractual language questions, offering creative and commercially sound solutions to resolve disputes with vendors.
- Manage multiple contracts and negotiations simultaneously while meeting aggressive timelines.
- Ensure adherence to the Third Party Contracting Policy and Enterprise Risk and Compliance standards.
Essential Functions
- Draft, review, revise, and negotiate a wide range of contractual instruments involving U.S. Bank’s interests or those of its customers.
- Use standard contract templates as a foundation while negotiating and tailoring legal terms to specific business needs.
- Mitigate risk by reviewing and revising vendor documentation to meet regulatory, compliance, and internal policy requirements.
- Partner closely with the Legal Department on complex legal and regulatory matters related to vendors.
- Advise stakeholders, including senior and executive management, on contractual risk management strategies and mitigation options.
- Analyze contractual scenarios and recommend appropriate documentation, including contract consolidation initiatives.
- Support regulatory projects, exceptions, and remediation activities aligned with Enterprise Risk and Compliance frameworks.
- Build and maintain strong working relationships with internal partners, suppliers, and supplier legal representatives.
Basic Qualifications
- Bachelor’s degree or equivalent relevant work experience.
- Minimum 5 years of experience in procurement contract administration or contract negotiation roles.
Preferred Skills and Experience
- Advanced understanding of laws, regulations, financial services, and regulatory trends.
- Strong knowledge of contract structures and regulatory requirements.
- Excellent English proficiency (minimum C1).
- Outstanding negotiation, problem-solving, and analytical skills.
- Ability to manage multiple projects and deadlines simultaneously.
- Strong organizational and communication skills.
Work Arrangement
This role requires working from a U.S. Bank office location at least three (3) days per week.
