Who You Are:
Reporting to the Head of Legal, Data Centers, the Corporate Counsel will support legal matters related to the construction, procurement, and operation of large-scale data center projects. This role will serve as a key legal partner to internal construction, procurement, engineering, and operations teams and will lead negotiations of complex vendor and third-party agreements. The Corporate Counsel will provide strategic legal advice and manage outside counsel across multiple project phases.
What You’ll Do:
- Structure, negotiate, and draft a wide range of agreements supporting data center construction and operations, including construction contracts, procurement agreements, master services agreements, equipment supply agreements, and other vendor and third-party contracts.
- Provide legal support for large-scale, mission-critical infrastructure projects from development through operations.
- Advise internal stakeholders on risk allocation, contract interpretation, and dispute mitigation related to construction and operational matters.
- Negotiate confidentiality agreements and other commercial contracts as required.
- Support compliance with contractual obligations and company policies.
- Manage and oversee outside counsel on construction, procurement, and operational legal matters.
- Provide practical, business-oriented legal advice on company strategies and their implementation within the data center platform.
What We’re Looking For:
- 3-5 years of legal experience, with significant experience in construction, procurement, operations, and vendor contract negotiation for large-scale projects.
- Prior experience at a nationally recognized law firm (big law), with infrastructure, construction, or complex commercial contracting exposure.
- Strong contract drafting and negotiation skills, with the ability to manage multiple complex matters simultaneously.
- Ability to work independently, prioritize effectively, and partner closely with cross-functional business teams.
