About the role
The Corporate Counsel, Sr will serve as a strategic legal partner to the business, advising on a wide range of sophisticated legal matters, including complex commercial transactions, technology-related matters, and strategic deal structures. This role will lead the drafting and negotiation of customer agreements while supporting sales and corporate initiatives across a global technology organization. The position will also provide legal guidance on intellectual property, privacy, and compliance matters while helping balance legal risk with business objectives.
What you'll be doing
- Provide ongoing legal counseling in a wide range of legal areas, including intellectual property, software, privacy, product compliance, and commercial transactions.
- Partner closely with Commercial Sales, Revenue Operations, and executive stakeholders to structure, negotiate, and close complex enterprise technology transactions.
- Draft, review, and negotiate strategic commercial agreements, including SaaS, cloud, software licensing, subscription, consulting services, and strategic alliance agreements.
- Support global sales initiatives by balancing legal risk with commercial objectives and enabling efficient deal execution.
- Strong familiarity and comfort level negotiating data processing addendums with both existing and new customers.
- Advise on sophisticated commercial deal structures, non-standard contracting arrangements, pricing models, and strategic customer engagements.
- Advise on data privacy, anti-corruption, and other applicable regulations.
- Provide legal guidance on emerging technology matters, software licensing models, AI-related considerations, data governance, and evolving regulatory requirements.
- Develop and implement policies, procedures, and strategic initiatives.
- Educate internal clients regarding policies, legal issues, commercial contracting, and best practices on an ongoing basis.
- Ensure compliance with corporate policies and applicable laws and regulations.
- Manage other attorneys and legal professionals.
What you'll likely bring
- Experience in a technology organization, preferably supporting cloud computing, SaaS, software licensing, subscription services, and professional services businesses.
- Demonstrated business acumen with the ability to provide practical, solution-oriented legal advice in a fast-paced commercial environment.
- Strong negotiation skills with experience supporting customer-facing transactions and complex commercial agreements.
- Exceptional written and verbal communication skills required.
- Excellent organization and attention to detail.
- Ability to work effectively as part of a team and independently.
- Ability to manage multiple priorities simultaneously and work efficiently under tight deadlines.
- Willingness to be proactive and take initiative to address issues as they arise.
- Strong computer skills required, including MS Office Suite (Word, PowerPoint, and Excel).
- Ability to use AI effectively to drive enhanced personal and team productivity

- 10+ years of applicable experience and demonstrated success in commercial, technology, and corporate legal matters.
- Significant experience negotiating complex customer-facing commercial agreements and supporting enterprise sales organizations.
- Experience structuring and advising on sophisticated technology transactions and strategic commercial relationships.
- Experience managing and developing employees (manager role only).
- 4+ years of enterprise software industry experience.
- Bachelor's degree required; Juris Doctor (JD) and active bar membership required.

Range:
Minimum: $163,000 USD Maximum: $277,000 USDThe salary range provided reflects the national average for this job title and does not represent compensation specific to Epicor Software Corporation.
