Role Overview
The role involves managing corporate secretarial, regulatory, and compliance-related activities for client entities operating at GIFT SEZ, with a strong focus on IFSC regulations, Companies Act, LLP Act, and SEBI compliances. The incumbent will work closely with clients, regulators, and internal teams to ensure timely and accurate compliance support.
Key Responsibilities
- Handle statutory compliances and filings under the Companies Act, 2013 and LLP Act.
- Understand and manage compliances under IFSCA Regulations and the SEZ framework for client companies at GIFT SEZ.
- Manage compliances related to Alternate Investment Funds (AIFs), including coordination with SEBI and other regulators.
- Liaise with clients for setting up entities at GIFT SEZ under IFSCA regulations.
- Coordinate and meet with regulators, authorities, and external vendors.
- Handle compliances relating to Annual General Meetings (AGMs) and other statutory meetings.
- Attend Board Meetings, draft agendas, board resolutions, and minutes, and ensure timely approvals and execution by directors / Chairperson.
- Update and renew regulatory documents including:
- Statutory registers and filings
- Registrations (FIU, LEI, etc.)
- Licenses and certificates (RCMC, IEC, etc.)
- Insurance policies and related regulatory documentation
- Prepare, submit, and manage applications, forms, and regulatory filings, including uploading and downloading of required documents.
- Maintain and update compliance trackers (client-managed and internal), ensuring accuracy, data integrity, and confidentiality.
- Provide administrative and regulatory support to the Client Services and CoSec teams as required.
Key Skills & Competencies
- Excellent drafting skills, including agendas, resolutions, minutes, reports, agreements, and regulatory documentation.
- Strong ability to learn and adapt to new compliance requirements and regulatory frameworks applicable to GIFT SEZ.
- High level of work ethic, ownership, and accountability.
- Flexible and adaptable approach toward new systems and operational processes.
- Ability to work effectively under pressure, manage tight timelines, and multitask efficiently.
- Strong interpersonal, verbal, and written communication skills.
- Collaborative team player with strong analytical, problem-solving, and organizational skills.
- Detail-oriented, result-driven, and capable of working with minimal supervision in a fast-paced and dynamic environment.
- Proficient in MS Office applications (Outlook, Word, Excel, PowerPoint).
Qualifications
- Qualified Company Secretary (CS) – Mandatory
- LLB / LLM will be an added advantage
