Essential Functions/Responsibilities
- Interprets and prepares legal documents
- Provides legal counsel to relevant business partners of the holding company, the bank and their affiliated entities.
- Assists in monitoring, identifying, developing, and communicating policies and procedures to conform with legal and regulatory requirements.
- Draft, review, and revise contracts, policies and other documents involving the company's legal rights and/or duties.
- Advise the company on corporate, governance, acquisition and securities matters, including drafting, reviewing and negotiating relevant documentation
- Negotiate consumer deposit and lending / commercial deposit and lending / real estate documents.
- Design / manage outside counsel prepared documents.
- Assist in revisions of bank standard loan documents/ templates.
- Negotiate and/or advise on property matters for facilities group (leases, purchase contracts).
- Work with the company's outside counsel to ensure proper representation of the company and its affiliates.
- Monitor legislation and other legal developments affecting the company.
- Provide support, as necessary, on merger and acquisition transactions.
- Research legal issues to ensure compliance in areas of expertise.
- Confer with company officers, customers, and other legal counsel on a variety of legal matters.
- Added responsibilities as designated by the general counsel or his/her designate.
Minimum Knowledge, Skills, and Abilities Needed to Perform Essential Functions of the Job
- Undergraduate degree necessary and Law Degree (JD) from an accredited law school in the US.
- Active state bar license
- 7+ years of relevant experience with a strong interest in corporate, governance, acquisition and securities matters
- Familiarity with laws governing consumer products (Reg DD, Reg E, Reg D, Reg CC, UDAAP, Reg P, FCRA, TCPA, Reg Z, and Reg B.
- Ability to concisely and effectively communicate complex matters in oral and written form
- Must be capable of handling multiple tasks amidst pressing deadlines, managing a substantial workload and client expectations, and interacting with associates and management at all levels
Preferred Knowledge and Skills
- Video conferencing, electronic discovery, & litigation support
- Law firm or in-house counsel experience working with companies and financial institutions on corporate, governance, acquisition and securities matters
