Greenhouse's Legal team is looking for a Senior Corporate Counsel. This newly created role will report to the Deputy General Counsel. This person will take ownership of critical corporate work-streams, including: corporate governance, securities, equity compensation matters, AI regulatory work, and corporate development projects. This is a high-impact generalist role that rewards strategic thinking as much as technical legal skill: no two weeks will look the same, and the work you do will directly shape how Greenhouse operates and grows.

What you’ll do

  • Advise on corporate governance and securities matters, including supporting Board and committee meeting preparation, corporate resolutions, and compliance with applicable corporate policies and bylaws.
  • Counsel the Total Rewards and Finance teams on employee equity matters, including administration of our equity compensation programs.
  • Monitor and advise on AI legal and regulatory developments, including the EU AI Act and emerging U.S. state frameworks as they apply to Greenhouse's internal operations and, where relevant, our products.
  • Build and maintain a corporate compliance program, including creating and maintaining policies, playbooks, and training materials that scale with the business.
  • Support M&A transactions, strategic partnerships, and other strategic corporate development activities, including due diligence, negotiation, and post-closing integration.
  • Partner with colleagues across the Legal team and cross-functional stakeholders on broader corporate and compliance matters, taking independent ownership of complex workstreams without heavy oversight.
  • Additional projects and responsibilities as business needs require.

You should have

  • JD from an accredited U.S. law school and active bar membership.
  • 6+ years of relevant legal experience, ideally combining top-tier law firm practice and in-house experience at a high-growth tech, SaaS, or fast-moving company.
  • Strong corporate generalist foundation, with deep knowledge of corporate governance, securities law, and M&A transactions.
  • Experience advising on equity compensation programs and working with HR or Total Rewards teams.
  • Familiarity with AI governance frameworks and the evolving AI regulatory landscape.
  • Demonstrated ability to deliver strategic, practical, and solution-focused legal guidance to stakeholders across the company.
  • Confidence to operate independently and take ownership of complex matters.
  • Sound judgment in ambiguous situations, intellectual curiosity, and the ability to get up to speed quickly on new areas of law.
  • Excellent written and verbal communication skills; highly organized and comfortable managing multiple work-streams simultaneously.
  • Experience with AI tools like Glean, Claude, Gemini and AI GC.

The national pay range for this role is $163,800 - $215,000. Individual compensation will be commensurate with the candidate's experience and qualifications. Certain roles may be eligible for additional compensation, including stock option awards, bonuses, and merit increases. Additionally, certain roles have the opportunity to receive sales commissions that are based on the terms of the sales commission plan applicable to the role.

Greenhouse provides a variety of benefits to employees, including medical, dental, and vision insurance, basic life insurance, mental health resources, financial wellness benefits, and a fully paid parental leave program. For US-based employees, we offer short-term and long-term disability coverage, a 401(k) plan and company match. U.S. based employees also receive, per calendar year, up to 14 scheduled paid holidays and up to 80 hours of paid sick leave. Non-exempt employees accrue up to 20-25 days of paid vacation time annually, depending on tenure, and exempt employees have flexible paid time off (PTO).

We plan to unpost this role by July 10. The anticipated closing date for this role is August 21, 2026.
