How This Role Makes a Difference
This key strategic legal resource, the Counsel, Corporate and Employment, will report to the Director, Corporate and Employment and will provide timely legal advice, counsel, and representation in connection with general corporate and compliance matters, with occasional employment and workplace law support and assisting with and taking lead on various projects and legal tasks as needed.
How You'll Make An Impact
- Corporate Law and Transactions
- Maintain corporate files for related entities and affiliates, including preparing drafts of board resolutions, filing periodic disclosures, and meeting corporate requirements for the relevant jurisdiction.
- Research various legal issues related to corporate law and transactions.
- Assist with M&A transactions, from due diligence to closing, coordinating and collaborating with internal teams and external counsel.
- Develop deep business knowledge to provide clear legal recommendations to internal stakeholders regarding potential corporate structures, transactions, and other corporate matters.
- Assist with contract review and transaction documents as needed..
- Provide advice and support to Finance and Business partners on a broad range of global corporate issues (currently U.S., Canada, European Union, and Brazil with potential for expansion) including compliance.
- Assess legal risk and provide solutions for resolving disputes.
- Stay informed and advise stakeholders of regulatory and legislative changes.
- Employment and Workplace
- Collaborate with other lawyers and non-lawyers on the team with respect to employment law advice and counseling provided to business partners.
- Collaborate with senior leaders in work on employment-related projects, including internal process reviews, new policy implementation, and training programs.

- Proficient with Microsoft Office applications (Word, Outlook, Teams, and Excel).
- Demonstrate professionalism in all situations and work effectively with a range of individuals at all levels of the business.
