Corporate Officer

Work Location:- Budapest, Váci út

Employment Type – Permanent

Working Conditions:

This role requires a full 5-day in-office working week, promoting a collaborative and engaging workplace atmosphere

Summary of role:

  • To work collaboratively and manage relevant relationships with team members and senior management of group entities, where necessary.
  • To build positive relationships and add real value to the teams and entities from governance perspective.
  • To adhere to established processes, procedures, and working practices for the greater good of the entities.
  • To proactively spot governance issues before they arise.
  • Work in accordance with applicable regulatory requirements, service levels and company standards to meet Client expectations.
  • To work within a dynamic team with a team player and client focus.

Job Specification:

To provide support to the Company Secretary Team of Apex Ireland and aid them in ensuring

that client companies are in compliance with laws and regulations and relevant internal rules

and regulations. Following the completion of our induction programme you will be tasked with

the following duties

  • Organising and attending client and internal Board and Committee Meetings.
  • Producing resolutions and minutes within an agreed timeline.
  • Drafting minutes and preparing an action point list of the matters arising from Board
  • Meetings and forwarding them to the relevant client for review ensuring all filings and

registrations are made in a timely and accurate manner for the entities. Ensuring all

  • other requirements or other relevant legislation is met.
  •  Assisting in the holding of Quarterly Board/ Committee Meetings, ad hoc Board/

Committee Meetings, and occasionally Annual General Meetings and Extraordinary

General Meetings.

  • Answering queries and requests on a day-to-day basis from clients, service providers -

such as auditors - and other external or internal staff.

  • Representing the Company in a professional manner and enhancing the perception of
  • the Company as client oriented, being proactive and dedicated to providing a superior
  • Maintaining and updating internal administrative tools in an accurate fashion.
  • The keeping and revising of company statutory registers - such as beneficial ownership
  • Preparation and filing of documents with the Registry (CRO), as deemed appropriate.
  • Advising Senior Management on corporate governance/ company secretarial matters on

a regular basis.

  • Assisting Apex’s Senior Management team and the Company Secretarial team in advising

on managing, mitigating and monitoring corporate governance risks.

  • Dealing with any other responsibilities reasonably assigned by the Team Manager.

Key competencies, requirements, desirable skills:

  • Strong written and verbal communication skills with proven ability in the use of the
  • English language
  • Exceptional proofreading is required to ensure the accuracy of the documents and
  • correspondence
  • Extensive minute taking experience, preferably in a corporate or legal environment
  • Relevant experience in company secretarial positions, preferably gained within a fund
  • or legal environment would be an asset
  • Organisational and time management skills
  • Proven analytical and problem-solving abilities
